These Terms of Service ("Terms") govern your access to and use of QuietSignal ("the Service"), operated by MRBE, based at Oudenaardsesteenweg 354B, 8500 Kortrijk, Belgium ("we", "us", "our").

By accessing or using QuietSignal, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

QuietSignal is a sales intelligence tool that monitors LinkedIn profiles to detect job changes among your contacts and surfaces them as sales signals in a dashboard.

2. Account Registration

To use QuietSignal, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Keep your account credentials secure
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account

You must be at least 18 years old and legally able to enter into contracts to use the Service.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload contact data you don't have the right to use
• Scrape, resell, or redistribute the Service's data
• Attempt to reverse-engineer, hack, or disrupt the Service
• Use the Service to harass, spam, or harm others
• Circumvent any usage limits or access controls

4. Your Data

You retain ownership of the contact data you upload. By using the Service, you grant us a limited license to process your data to provide the Service (e.g., enriching contact profiles via third-party APIs like LinkedIn enrichment providers).

You are responsible for ensuring you have the legal basis to process the contact data you upload, including compliance with GDPR and other applicable data protection laws.

5. Third-Party Services

QuietSignal uses third-party services (including Apify for LinkedIn enrichment, Supabase for database hosting, Vercel for hosting, and Resend for email delivery). Your use of the Service is also subject to the terms of these providers.

6. Subscription and Payment

QuietSignal offers paid subscription plans, billed monthly or annually in advance.

• Beyond that guarantee, fees are non-refundable except where required by law
• We may change pricing with 30 days' notice; changes never apply retroactively to a period you have already paid for
• You may cancel at any time; access continues until the end of the billing period

7. Availability

We aim to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features at any time.

8. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time from your settings.

9. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not guarantee that the signals detected are accurate, complete, or actionable. You use the Service at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, MRBE's total liability arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of Belgium. Disputes will be resolved in the courts of Kortrijk, Belgium.
